These Terms of Service (“Terms”) govern your relationship with M BROOKES VENTURES LTD (“we”, “us”, or “our”) when you use our website or engage our language teaching services. Please read them carefully.

2. Our Services
NEULPAN provides online language tuition in Hebrew, English, and Arabic. Lessons are delivered via Zoom in small groups of up to eight students, typically three times per week in two-hour sessions.
Courses are conducted at multiple levels. Your level is assessed through a placement interview prior to joining a group.
We do not offer instant online enrolment. All places are arranged through direct contact (via our enquiry form, email, or phone) and confirmed by us in writing.
3. Placing an Order / Booking a Place
To join a course:
- Submit an enquiry via our contact form, email, or phone.
- We will arrange a placement interview to assess your current level and discuss your goals.
- Upon mutual agreement, we will confirm your place in a group in writing by email.
- A binding service agreement is formed when you receive written confirmation from us and you confirm your acceptance.
We reserve the right to decline any enquiry at our discretion, including where no suitable group is available for your level or schedule.
4. Pricing
Our standard rate is £12.00 per hour of tuition, applicable to all languages and all levels. This rate is inclusive of VAT where applicable.
Prices are stated in pounds sterling (GBP). We reserve the right to revise our pricing with reasonable notice (at least 30 days) prior to any change taking effect for existing students.
5. Payment Terms
Payment is made monthly in arrears — that is, you are invoiced for classes already completed during the previous month. An invoice will be issued to you at the beginning of each calendar month.
Payment is due within 14 days of the invoice date unless an alternative arrangement has been agreed in writing.
Payments may be made by bank transfer or any other method we confirm in writing. We do not accept cash payments by post.
Late payments may incur a reasonable late payment charge in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.
6. Cancellations and Refunds
Student-initiated cancellations:
- You may withdraw from your course at any time by giving us at least 7 days’ written notice by email.
- You will be charged only for sessions completed up to and including your final lesson.
- No charge is made for any sessions not yet delivered at the time your withdrawal takes effect.
Individual lesson cancellations:
- Group sessions that cannot take place due to a teacher's absence will either be rescheduled or will not be charged.
- We do not issue refunds for sessions missed by the student without 24 hours’ prior notice. Missed sessions are charged at the standard rate.
Refunds: Where a refund is due (for example, if you have paid in advance for sessions that were subsequently cancelled by us), it will be processed within 14 days by the same payment method used.
We are not able to offer pro-rata refunds for partial sessions attended.
7. Our Responsibilities
We will:
- Provide tuition of a professional standard, delivered by qualified and experienced teachers.
- Give reasonable advance notice of any changes to your group, teacher, or schedule.
- Make reasonable efforts to reschedule sessions cancelled on our side.
- Respond to enquiries and complaints within 5 working days.
8. Student Responsibilities
By joining a course, you agree to:
- Attend sessions regularly and punctually.
- Treat teachers and fellow students with respect.
- Ensure you have a stable internet connection and functioning audio for online sessions.
- Notify us as soon as reasonably possible if you are unable to attend a session.
- Pay invoices within the agreed timeframe.
We reserve the right to remove a student from a group without refund if their conduct is detrimental to other students or to the learning environment.
9. Intellectual Property
All materials provided during lessons — including course notes, exercises, and resources — are the intellectual property of M BROOKES VENTURES LTD or its teachers. You may use these materials for your personal study only. You may not reproduce, distribute, or resell them without our prior written consent.
Lessons may not be recorded without the express written consent of both the teacher and all students present.
10. Limitation of Liability
To the fullest extent permitted by law, M BROOKES VENTURES LTD shall not be liable for any indirect, consequential, or incidental loss arising from your use of our services or website. Our total liability in any circumstances shall not exceed the total fees paid by you in the three months immediately preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by English law.
11. Dispute Resolution
If you have a complaint, please contact us in the first instance at [email protected] or by phone on 07828 781 576. We will acknowledge your complaint within 5 working days and aim to resolve it within 28 days.
If we are unable to resolve the matter to your satisfaction, you may seek independent advice or refer the dispute to an appropriate body. These Terms are governed by the laws of England and Wales, and any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time. We will notify existing students of any material changes by email with at least 14 days’ notice. Continued use of our services following the effective date of any changes constitutes acceptance of the revised Terms.
